This Earnings Disclaimer is part of, and should be read together with, our Terms of Service. It applies to everything we publish, everywhere, this website, our emails, ads, videos, webinars, social media, and community.
The short version
Acquisition Ace is education. We teach a real process for buying small businesses, and we're proud of what our members have done with it. But here's the truth, stated plainly: we cannot and do not guarantee that you will buy a business, get a loan, make money, or achieve any result. The results you see on this site come from our most successful members and are not typical many members never complete an acquisition and get no financial result at all. Buying a business with borrowed money is a serious financial undertaking with real risk, including personal liability on loans. This is the opposite of a get-rich-quick opportunity: it takes significant work, capital, time, and judgment. If anyone tells you otherwise, they're selling you a fantasy, and we won't.
1. Education only, not advice
Everything we provide, content, courses, coaching, community, calls, tools, calculators, templates, and data, is for educational and informational purposes only. Nothing we provide is financial, investment, legal, tax, accounting, lending, or securities advice, or a recommendation to buy any specific business. We are not a lender, loan broker, business broker, investment adviser, broker-dealer, law firm, or accounting firm, and no advisory, fiduciary, or professional-client relationship is created by using our Services. We are not affiliated with or endorsed by the U.S. Small Business Administration. Before making any acquisition, financing, or investment decision, engage your own licensed attorney, CPA, and lender.
2. No guarantee of results, none
We make no promises, guarantees, representations, or warranties of any kind, express or implied, regarding earnings, income, revenue, profit, savings, financing approval, deal flow, acquisition success, or any other outcome. No one on our team is authorized to make you such a promise, and you should not interpret anything we say, in content, on calls, or in the community, as one. Whether you succeed depends on factors that belong to you and the world, not to us: your effort, skills, experience, judgment, finances, creditworthiness, access to capital, market conditions, the deals actually available where you look, lender decisions, seller behavior, the economy, and plain luck.
3. Featured results are real, and not typical
The member results featured on this site, case studies, testimonials, deal-board entries, and aggregate statistics, describe real members and real transactions, shared with their permission. They are not typical, and you should not expect to match them. They represent outcomes achieved by some of our most successful and committed members, whose circumstances (capital, credit, experience, market, timing) may be very different from yours.
To be explicit about what's typical: many people who join educational programs, including ours, never complete a business acquisition and achieve no financial result. Success in this field is the exception that rewards sustained, skilled effort, not the default outcome of enrollment. Do not purchase our program based on featured results. Purchase it, if at all, because you want to learn the process and are prepared to do the work, with no guarantee.
4. Member figures are self-reported
Numbers attributed to members, purchase prices, down payments, financing structures, revenue, SDE, EBITDA, cash flow, and profit, are self-reported by the members themselves and, unless expressly stated otherwise, have not been independently audited or verified by us. Aggregate statistics we publish (such as the number of members who have bought businesses, total purchase value, and average deal size) are compiled from member self-reports and deal documents members choose to share; they reflect the members who reported, cover the period stated or the life of the program, and are averages of reported completed deals they say nothing about the outcomes of members who did not close a deal. Treat every figure as one person's account, not a verified track record or a benchmark you should expect to reach.
5. Buying a business is genuinely risky
We'd rather lose a sale than understate this. Acquiring a small business, especially with leverage, involves substantial risk, including:
- Personal liability. SBA 7(a) loans generally require an unlimited personal guarantee from every owner of 20% or more. "10% down" refers to the cash injection, it does not limit your liability. If the business can't pay, you remain personally responsible for the loan balance; lenders may require liens on personal assets (including, in many cases, your home), and default can mean loss of personal assets, damaged credit, and federal collection efforts.
- Total loss. You can lose your entire down payment, your time, and more. Businesses can decline after purchase, key customers leave, employees quit, markets shift, sellers' numbers turn out to be wrong.
- Deal risk. Deals fail in diligence after you've spent real money on attorneys, accountants, and lender fees. Financing can be denied. Sellers can walk.
- Operating risk. Owning a business means responsibility for payroll, customers, debt service, and problems, from day one, whether or not you feel ready.
Loan approval is never guaranteed, and nothing we teach changes a lender's underwriting. Never invest or borrow money you cannot afford to lose.
6. Forward-looking statements
Statements on this site or in our materials about what you "can," "could," or "may" achieve, projections, models, "what if" scenarios, and statements of potential, are forward-looking statements of opinion about possibility, not fact and not promises. They are inherently uncertain, and actual results will differ, sometimes completely. Do not rely on any forward-looking statement in making a purchase or investment decision.
7. Examples, models, and calculators are hypothetical
Worked examples, deal models, illustrative numbers (such as "a $1M business at 10% down"), and the outputs of our free tools and calculators are hypothetical illustrations built on assumptions that may not match any real transaction, and certainly may not match yours. Calculator outputs depend entirely on the numbers you enter and simplified formulas; they are educational estimates, not loan quotes, valuations, appraisals, projections, or advice, and no lender is bound by them. Some tools and images on this site are created with AI assistance and, like all software and AI, may contain errors. Verify every number that matters with your own lender, CPA, and attorney. We accept no responsibility for decisions made in reliance on any example, model, tool, or calculator output.
8. Testimonials and endorsements
Testimonials on this site reflect the real, individual experiences of actual members, in their own words (lightly edited for length or clarity without changing meaning). They are individual experiences, not claims that you will achieve similar results. Where a person providing a testimonial has received compensation, free or discounted services, or any other material benefit for it, we disclose that where the testimonial appears. We do not use fake, AI-generated, or paid-actor testimonials, and we do not suppress genuine negative reviews on third-party platforms.
9. Your decisions, and your diligence, are your own
By using this site and our Services you acknowledge and agree that: you are solely responsible for your own decisions, actions, and results; you will conduct your own independent due diligence, including professional legal, financial, and accounting review, before pursuing or purchasing any business; you have not relied on any earnings representation, forward-looking statement, or featured result in deciding to purchase anything from us; and, to the fullest extent permitted by law, Acquisition Ace and its team are not liable for the outcomes of your business decisions. If you are not comfortable with that allocation of responsibility, we genuinely respect that, and our program is not for you.
